NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into on

Collectively referred to as “Parties”.

1. Purpose

The purpose of this Agreement is to protect confidential information shared between the Parties in relation to branding, UI/UX design, website development, digital design services, and related project discussions.

2. Definition of Confidential Information

Confidential Information includes but is not limited to:

• Business plans

• Project concepts

• Wireframes and design drafts

• Technical data

• Financial information

• Login credentials

• Source files

• Marketing strategies

• Client data

Any information disclosed verbally, digitally, or in written form that is marked or reasonably understood as confidential shall be considered protected under this Agreement.

3. Obligations of Receiving Party

The receiving party agrees to:

• Keep all confidential information strictly private

• Not disclose information to any third party without written consent

• Use the information solely for project-related purposes

• Take reasonable security measures to protect such information

4. Exclusions

Confidential Information does not include information that:

• Is publicly available

• Was already known prior to disclosure

• Is received from a third party legally

• Is required to be disclosed by law

5. Portfolio & Public Work

Crevix agrees:

• Not to publish or showcase any ongoing project without written permission.

• To respect signed NDA restrictions.

• Once a project becomes publicly available, Crevix may showcase selected non-confidential visuals for portfolio purposes.

• All sensitive, private, or restricted content will be removed before any promotional display.

6. Term of Agreement

This Agreement shall remain in effect:

• During the course of the project, and

• For a period of 2 years after project completion, unless otherwise agreed in writing.

7. Return or Destruction of Information

Upon request, the receiving party agrees to return or permanently delete confidential materials, except archived copies retained for legal compliance.

8. No Transfer of Rights

This Agreement does not grant ownership or intellectual property rights to either party beyond the agreed project terms.

9. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.
